Contracting with Companies
By: Griffiths, Andrew
Published by: Hart Publishing, Ltd

This book surveys the main rules of Company Law governing the making of contracts with companies. It adopts an economic perspective, examining these rules in terms of the risks they apportion between companies and parties contracting with them. It reviews the use that has been made of economics in the analysis of Company Law and considers what guidance this can provide in analysing corporate contracting. The book then examines the relevant law and the issues raised by this law, covering the role of corporate constitutions as the source of the authority of corporate agents, the mechanisms of corporate activity and decision-making, the identification of corporate contracting parties, pre-incorporation contracts and other contracts with non-existent companies, the contractual power of a company’s board, the protection of parties dealing with subordinate corporate agents and the regulation of contracts in which a director has a conflict of interest. more...

Corporate Personality in the 20th Century
By: Grantham, Ross (ed.); Rickett, Charles (ed.)

The decision of the House of Lords in Salomon v. Salomon & Co Ltd has had lasting influence on the development of modern company law. This one hundred year old decision articulated the founding propositions of company law and is accordingly treated with reverence by academics and practitioners alike. The centenary of the case therefore affords a convenient opportunity to review these developments in company law. In doing so,the contributors to this volume range broadly across the modern approaches to company law and attempt to place key aspects of the subject in a theoretical and historical perspective and to lay bare the structural, theoretical and policy issues which lie behind its day-to-day technicalities. more...

Corporations and the Third Way
By: Wheeler, Sally
Published by: Hart Publishing, Ltd

The search for an ethical foundation for corporate behaviour has been a powerful theme of scholarship in company law since the middle of the last century. In an era of social democracy the search has intensified, fuelled by the demise of the new right both in economic and social terms. The author of this path-breaking and provocative work argues that third way politics offers a means of identifying that foundation by emphasizing the need for social co-operation and partnership through shared agendas rather than regulatory pressure. In contrast to many contemporary 'globalization' theorists the author argues that corporations are in fact profoundly concerned with national political and social agendas rather than global ones. The reasons for the demise of the new right are intimately connected with the position of corporations within civil society. Corporations have little choice but to become involved with third way politics and its accompanying social agendas. These ideas are traced through into a blueprint for corporate behaviour which looks at Aristotelian ethics as a way of creating a position for the corporation which permits the goal of profit to be placed alongside others such as community participation. These goals, it is argued, can be achieved through an ethics of care approach. more...
